Commercial End-User License Agreement (EULA)

This Commercial End-User License Agreement (“EULA” or “Agreement”) is a legal agreement between you (“Licensee”, “you”, or “your”) and DomSpade Pro, operated by an independent software developer (“Licensor”, “Developer”, “we”, “us”, or “our”).

This Agreement governs your acquisition, download, installation, activation, and commercial or personal use of the Domspade Pro desktop computer software application for macOS and Windows, including all executable binaries, local algorithms, scripts, user documentation, and updates provided by the Licensor (collectively, the “Software”).

By downloading, installing, copying, activating, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the Software.

1. Commercial License Grant & Workspace Entitlements

Commercial Perpetual License: Upon your payment of the one-time license fee ($49.00 USD, discounted 51% from the regular $100.00 price), the Licensor grants you a personal, worldwide, non-exclusive, non-sublicensable, perpetual commercial license to install and execute the Software on one (1) computer workstation (“Workspace”) at any given time.

Authorized Commercial Use: You are expressly authorized to use the Software for commercial business purposes, including professional domain investing, domain brokerage, corporate brand research, portfolio management, client due diligence, and negotiation of domain asset transactions.

Single Active Workspace & Seat Transfers: Each purchased license key permits exactly one active workstation installation at any given time. If you replace your workstation, reinstall your operating system, or switch machines, you may release and deactivate your seat via your online account dashboard and activate the software on your new machine at no additional cost.

Lifetime Updates Included: Your valid license entitles you to receive all future software updates free of charge for life. Updates are not restricted to specific version numbers. All future software versions, discovery tools, engine enhancements, TLD dictionary updates, and protocol patches are free to download for any licensee with a valid license key.

2. Software Architecture, Direct Scanning & Privacy

Local Client-Side Execution: The Software is compiled and executed locally on your workstation. When querying domain availability, the Software connects directly from your local computer to authoritative root registry servers via raw network sockets and RDAP. The scanning engine can sustain 50 to 500+ verified queries per second, depending on your system hardware resources and internet bandwidth.

Zero Query Telemetry: Your domain queries, keyword inputs, formula configurations, and portfolio inventories never route through or get logged on servers operated by the Licensor.

Automated & Manual Cloud Backups: Domspade Pro includes an automated cloud backup system that executes upon software initialization and repeats periodically at scheduled intervals. Licensees may also trigger manual backups. All backup archives are safely stored in the cloud in an encrypted state and decrypted exclusively using your private license key. The Licensor has zero access to your portfolio data or unencrypted backup files.

3. Third-Party AI Services (BYOK) & Sensitive Data Security

Bring Your Own Key (BYOK): Artificial intelligence features (such as domain idea brainstorming and brand generation) require you to input your own API keys from third-party AI providers (such as OpenAI, Groq, OpenRouter, Anthropic, or local models via Ollama). The Licensor charges 0% markup on AI tokens.

Local Encryption of Sensitive Keys: All third-party API keys entered into the Software are encrypted and secured locally on your computer with AES-256 encryption. API requests are dispatched directly from your workstation to the third-party AI provider, never passing through the Licensor. You are solely responsible for compliance with the terms and billing policies of your chosen AI providers.

4. License Restrictions & Prohibited Uses

Except as expressly provided in this Agreement, you shall not, directly or indirectly:

• Sell, resell, rent, lease, lend, sublicense, redistribute, or share your license key or software binary with any third party;
• Decompile, reverse engineer, disassemble, decrypt, or attempt to derive the source code or proprietary algorithms of the Software;
• Modify, adapt, translate, patch, or create derivative works of the Software binary;
• Bypass, alter, disable, or tamper with digital rights management, license verification servers, or security routines;
• Use the Software to conduct automated denial-of-service attacks, flood root nameservers, or violate registry Acceptable Use Policies;
• Use the Software to violate the Anticybersquatting Consumer Protection Act (ACPA), the Uniform Domain-Name Dispute-Resolution Policy (UDRP), or any third-party trademark or intellectual property rights.

5. Intellectual Property Rights & Ownership

The Software is licensed, not sold, to you. The Licensor retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, visual design, icons, and compiled binary code. All rights not expressly granted to you in this EULA are reserved by the Licensor.

You retain full ownership of all proprietary data, domain lists, valuation spreadsheets, and buyer notes that you create, import, or store inside your local database.

6. Payments (Dodo Payments) & 7-Day Money-Back Guarantee

Payment Processing: License fees are billed once ($49.00 USD) and processed securely through Dodo Payments as our Merchant of Record. There are zero recurring monthly subscriptions or maintenance fees.

7-Day Refund Policy: We offer an unconditional 7-day money-back guarantee. If you are dissatisfied with Domspade Pro for any reason, you may request a 100% full refund by emailing contact@domspade.com within seven (7) calendar days of your initial license purchase.

Upon issuance of a refund, your license key will be permanently deactivated and your workspace entitlement terminated.

7. Disclaimer Regarding Domain Registration & Valuations

Not an ICANN Registrar: The Software is an intelligence, search, and workflow application. The Licensor is not an ICANN-accredited registrar, domain reseller, or escrow agent. The Software does not register domains or hold funds. Availability checks represent point-in-time interpretations of registry responses and do not guarantee successful registration.

No Appraisal or Legal Advice: All quality metrics, entropy scores, comparable sales history, and holding cost projections are automated algorithmic heuristics provided solely for informational and educational purposes. You assume sole responsibility for your investment decisions and trademark legal clearance.

8. Disclaimer of Warranties (“AS-IS”)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED STRICTLY “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

THE LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE BUG-FREE, OR ACCURATELY PREDICT DOMAIN AVAILABILITY OR VALUE.

9. Strict Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, LOST DOMAIN OPPORTUNITIES, FRONT-RUNNING BY THIRD PARTIES, IP RATE-LIMITING, THIRD-PARTY AI BILLS, OR LOCAL DATABASE CORRUPTION), ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE.

Liability Cap: The Licensor's total cumulative aggregate liability for all claims arising under or related to this EULA shall never exceed the actual purchase price paid by you for the software license (specifically capped at $49.00 USD), or zero dollars ($0.00 USD) if provided free of charge.

10. Termination

This EULA is effective until terminated. Your rights under this Agreement will terminate immediately and automatically without notice from the Licensor if you fail to comply with any term of this Agreement (including unauthorized key sharing, reverse engineering, or fraudulent chargebacks). Upon termination, you must cease all use of the Software and delete all copies of the Software in your possession.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflicts of law principles. Any unresolved dispute shall be resolved through binding individual arbitration under commercial arbitration rules, and both parties waive any right to participate in a class action.
